SaaS Services Agreement

This SaaS Services Agreement ("Agreement") is entered into between Techcanic Ltd ("Techcanic", "we", "us") and the school or institution that subscribes to Edumintor ("School", "you"). It sets out the commercial and service terms under which Techcanic provides the Edumintor platform to the School, and applies alongside our Terms of Service and Privacy Policy.

1. Scope of Services

Techcanic will provide the School with access to the Edumintor platform, comprising the modules the School has access to, which may include: student management, attendance tracking, exams and results (including report card generation), fee and finance management, reports and analytics, SMS and WhatsApp broadcasting, multi-branch/campus management, role-based access control, curriculum planning, and student records including transcripts and alumni history.

Not all modules may be relevant to every School; availability may evolve as the platform is updated.

2. Subscription Term & Free Trial

New Schools receive a 30-day free trial with full access to the platform and no credit card required. At the end of the trial, continued access requires an active paid subscription under this Agreement.

The subscription renews on a rolling monthly basis unless cancelled by the School, and there is no long-term contract or minimum term commitment.

3. Fees & Payment

Subscription fees are charged per enrolled student, at a per-student rate agreed with the School during onboarding based on the School's size. There are no volume discounts and no hidden or setup fees — fees scale directly with the number of students enrolled on the platform.

Fees are billed in Ghanaian Cedis (GHS) unless otherwise agreed, on a recurring monthly basis. The School is responsible for keeping billing and payment information up to date and for settling invoices by their due date.

Techcanic may adjust pricing with reasonable prior notice to the School; adjusted pricing will apply from the School's next billing cycle.

4. Customer Responsibilities

The School is responsible for: the accuracy of data it enters or uploads into the platform; managing which staff, teachers, and parents are granted access and at what permission level; obtaining any consents required from parents, guardians, or staff before submitting their personal data; and using the Service in accordance with the Terms of Service.

5. Data Ownership & Processing

The School owns all School Data submitted to the platform. Techcanic processes School Data solely to provide the Service, in accordance with the Privacy Policy, and will not use School Data for any purpose unrelated to providing and improving the Service.

Upon termination of this Agreement, the School may export its data for a reasonable period, after which Techcanic may delete School Data from active systems, subject to routine backup retention cycles.

6. Service Availability & Support

Techcanic will use commercially reasonable efforts to maintain high platform availability and performs daily automated backups of School Data. Planned maintenance will, where practicable, be scheduled to minimise disruption and communicated in advance.

The School's users have access to 24/7 support via WhatsApp, phone, and email.

7. Pay-to-View Results Feature

Where a School chooses to enable the pay-to-view results feature, the School sets the pricing charged to parents for accessing results through this feature. Parent payments are processed via a third-party payment gateway integrated with the platform, and settlement terms for amounts collected through this feature will be agreed separately with the School as part of enabling the feature.

8. Suspension & Termination

Techcanic may suspend access to the Service if fees remain unpaid after reasonable notice, or if the School materially breaches this Agreement or the Terms of Service.

Either party may terminate this Agreement: the School, by cancelling its subscription at any time; Techcanic, on reasonable written notice, or immediately in the event of a material, uncured breach.

9. Confidentiality

Each party agrees to protect the other's confidential information disclosed in connection with this Agreement using at least the same degree of care it uses for its own confidential information, and not to disclose it except as necessary to perform this Agreement or as required by law.

10. Warranties & Disclaimers

Techcanic warrants that it will provide the Service with reasonable skill and care. Except as expressly stated in this Agreement, the Service is provided "as is", and Techcanic disclaims all other warranties to the fullest extent permitted by law.

11. Limitation of Liability

To the fullest extent permitted by law, Techcanic's total aggregate liability under this Agreement shall not exceed the fees paid by the School in the twelve (12) months preceding the event giving rise to the claim, and neither party shall be liable for indirect, incidental, or consequential losses.

12. Governing Law & Dispute Resolution

This Agreement is governed by the laws of the Republic of Ghana. The parties will first attempt to resolve any dispute in good faith through direct discussion before pursuing formal proceedings before the courts of Ghana.

13. General Provisions

This Agreement, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between the parties regarding the Service and supersedes prior discussions on the subject. Neither party may assign this Agreement without the other's written consent, except that Techcanic may assign it in connection with a merger, acquisition, or sale of assets. If any provision is found unenforceable, the remaining provisions continue in effect.
